These Terms of Service ("Terms") are an agreement between you and getlokly, doing business as LOKLY ("LOKLY", "we", "us"), based in New Jersey, United States. They apply to your use of this website and to any request, proposal or service from LOKLY. By using the website or contacting us, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the website. Section 13 contains a binding arbitration agreement and a class action waiver that affect your legal rights.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract. If you act for a business, you confirm you have authority to bind that business, and "you" includes that business.
2. Information on this website
The website describes our services in general terms. Plan names, features, price ranges and timelines are informational and may change at any time without notice. They are not an offer, a quote or a guarantee. The website concepts shown under "Work" are illustrative designs made by LOKLY; they are not real clients, real businesses or real results.
3. Proposals and agreements
Asking for a proposal is free and creates no obligation for you or for us. A project starts only when you accept a written proposal or agreement from LOKLY (including one sent by WhatsApp or email) and make any payment it requires. That written proposal sets the final scope, price, payment schedule, deposits, refunds, revision rounds and timeline, and it controls if it conflicts with these Terms. We may decline any project for any lawful reason.
4. Timelines
Delivery times, including "live in 7 days", are good-faith estimates that start once we receive everything we need from you (such as your logo, photos, text, approvals and account access). Delays in receiving materials or approvals, changes in scope, or problems with third-party platforms move the timeline. Missing an estimated date is not a breach of these Terms.
5. Payments
Prices are in US dollars unless the proposal says otherwise. Clients outside the United States are responsible for any currency conversion, bank or transfer fees, import taxes, VAT, GST or withholding taxes in their country. Prices do not include taxes, third-party fees or costs (such as domain names, paid hosting, stock media, app store or wallet fees, or ad spend) unless the proposal says so. Ongoing services such as monthly maintenance continue until canceled as set out in your proposal. Late or failed payments may pause the work, and we may withhold delivery of final files or transfer of ownership until the full amount is paid.
6. Your responsibilities and content
You agree to give us accurate information and to respond in a reasonable time. You are responsible for the content you give us (logos, photos, text, prices, claims, offers, reviews and other materials) and you confirm that you own it or have permission to use it, and that it does not infringe anyone's copyright, trademark, privacy or other rights or break any law. You give LOKLY a non-exclusive, royalty-free license to use that content to perform the services.
You are responsible for your own business and its legal obligations, including the accuracy of what your website says, your own privacy policy and terms, consumer protection, advertising and industry rules, licenses, and how you treat your own customers' data. LOKLY does not provide legal, tax, accounting or regulatory advice.
7. Ownership
Once you pay in full, you own the final deliverables created specifically for you (such as your final website design, graphics, video and copy), and your domain and accounts, such as your Google Business Profile, are set up in your name. LOKLY keeps ownership of its pre-existing and general tools, code, templates, methods and know-how, and gives you a perpetual, non-exclusive license to use the parts included in your deliverables. Third-party materials (fonts, stock images, plugins, platforms) remain subject to their own licenses. Unless you tell us in writing that you prefer otherwise, we may show the finished work and your business name in our portfolio and marketing.
8. Third-party platforms
Our work often relies on services we do not control, including Google (Search, Maps, Business Profile, Wallet), Apple (Wallet), Meta (WhatsApp, Instagram, Facebook), TikTok, domain registrars and hosting providers. Their use is governed by their own terms. We are not responsible for their availability, decisions, policy changes, suspensions, verification requirements, outages or fees.
9. No guarantee of results
We work to help your business be seen and found, but marketing results depend on many factors outside our control. We do not guarantee any specific number of customers, leads, sales, revenue, views, reviews, followers, search ranking or position on Google or any other platform. Any examples, projections or statements about possible results are illustrative, not promises.
10. Disclaimer of warranties
To the fullest extent allowed by law, the website and all information on it are provided "as is" and "as available", and LOKLY disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the website will be uninterrupted, error-free or free of harmful components. Any warranty for paid services is only what your written proposal expressly states.
11. Limitation of liability
To the fullest extent allowed by law, LOKLY and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, even if advised of the possibility. LOKLY's total liability for any claim relating to the website or the services is limited to the amount you paid LOKLY for the services giving rise to the claim in the 12 months before the claim, or US $100 if you paid nothing. Some states do not allow some of these limits, so they may not fully apply to you.
12. Indemnification
You agree to defend, indemnify and hold harmless LOKLY and its owners, employees and contractors from any claims, losses, damages, fines and costs (including reasonable attorneys' fees) arising from the content you provide, your business, products or services, your breach of these Terms, or your violation of any law or third-party right.
13. Disputes: informal resolution, arbitration and class action waiver
Talk to us first. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.
Arbitration. If we cannot resolve it, any dispute arising from or relating to these Terms, the website or the services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable rules, instead of in court. The Federal Arbitration Act governs this section. Either party may instead bring an individual claim in small claims court if it qualifies, and either party may ask a court for an injunction to protect intellectual property.
Class action waiver. You and LOKLY each may bring claims only individually, and not as a plaintiff or class member in any class, collective or representative action. You and LOKLY each waive the right to a jury trial.
Opt out. You can opt out of this arbitration agreement by telling us in writing at getlokly@gmail.com (WhatsApp also counts) within 30 days after you first accept these Terms.
If any part of this section is found unenforceable for a claim, that claim will be decided in the courts named in section 14, and the rest of this section still applies.
14. Governing law and venue
These Terms are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law rules. Subject to section 13, any court case will be brought only in the state or federal courts located in New Jersey, and you consent to their jurisdiction. Arbitration with clients outside the United States may be administered by the International Centre for Dispute Resolution (ICDR), in English, and may be held by video conference.
Clients outside the United States. We serve clients worldwide. If you are a consumer and the law of your country gives you mandatory rights or protections that cannot be waived by contract (for example in the European Union or the United Kingdom), nothing in these Terms takes those rights away, and the arbitration, class action waiver, venue and choice of law sections apply only as far as your local law allows. You are responsible for making sure that your website and business comply with the laws of the countries where you operate. We do not provide services where it is prohibited by law, including to persons or countries subject to US sanctions.
15. Acceptable use of the website
You agree not to copy, scrape, reverse engineer or resell the website or its content; not to try to break, overload or gain unauthorized access to it; not to send malware, spam or unlawful content; and not to use it to impersonate anyone. All website content, including the LOKLY name and logo, text, design, animations and code, belongs to LOKLY or its licensors and is protected by copyright and trademark law.
16. Copyright complaints (DMCA)
If you believe something on this website infringes your copyright, send a notice to getlokly@gmail.com with your contact information, the work you claim is infringed, where it appears on the site, a statement of good-faith belief, and a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, signed physically or electronically. We will review it and remove infringing material where appropriate.
17. Electronic communications
You agree that agreements, notices and other communications we send electronically (including by WhatsApp, text or email) satisfy any legal requirement that they be in writing.
18. Other terms
We may update these Terms by posting a new version with a new date; changes do not apply to a signed proposal already in effect unless you agree. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. Neither party is liable for delays caused by events beyond its reasonable control (such as natural disasters, outages, platform failures or government actions). These Terms, the Privacy Policy and any written proposal are the entire agreement between us on this subject. If these Terms are translated, the English version controls in case of conflict.

Renuncia a demandas colectivas.
